1. Our commitment

These Terms of Use (“Terms”) govern your access to and use of the Montelux websites (montelux.com and any associated subdomain), as well as any non-authenticated digital interface we make available, such as contact forms, demo requests, and informational areas (collectively, the “Site”).

The same Montelux standards apply globally. Where local laws impose additional or specific obligations, those are set out in the regional sections below.

By accessing or using the Site, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, please do not use the Site.

These Terms govern your use of the Site only. They do not govern the contractual relationship between Montelux and its clients in respect of regulated financial services, which is set out in the relevant client agreement and general terms and conditions of the Montelux entity with which you contract (see Annex A).

2. Who we are

The Site is operated by Montelux Group S.à r.l., the holding company of the Montelux group.

The Montelux group comprises the entities listed in Annex A. Each operational Montelux entity operates independently within its own jurisdiction. Information presented on the Site may relate to one entity, the other, or both, depending on the page, the service described, and your location.

3. Eligibility

You may use the Site only if you are at least 18 years old and legally able to enter into a binding agreement under the laws applicable to you.

The Site is intended for use by individuals and businesses located in jurisdictions where Montelux services are lawfully available. The Site is not directed at residents of any jurisdiction where its content, products, or services would be contrary to applicable law or regulation. It is your responsibility to ensure that your access to the Site complies with the laws applicable to you.

4. Information on the Site

The information on the Site is provided for general informational purposes only. It does not constitute, and should not be relied upon as:

  • financial, investment, tax, accounting, or legal advice;
  • a solicitation, offer, recommendation, or endorsement to buy, sell, or use any product or service;
  • the formation of a contractual or advisory relationship between you and any Montelux entity.

Before making any financial decision or entering into any service agreement with Montelux, you should obtain appropriate professional advice and review the applicable client agreement and terms and conditions in full.

We take reasonable care to ensure that the content of the Site is accurate and up to date, but we make no representation or warranty of any kind regarding its completeness, accuracy, reliability, suitability, or availability.

5. Becoming a client

The Site does not enable you to open an account, hold funds, send or receive payments, or use any other regulated service. To access regulated services, you must complete the onboarding process of the relevant Montelux entity, accept its client agreement and general terms and conditions, and pass the applicable verification checks.

Submitting a contact form, requesting a demo, or otherwise interacting with the Site does not establish a client relationship and does not entitle you to any service.

6. Acceptable use

When using the Site, you agree not to:

  • use the Site for any unlawful, fraudulent, abusive, or harmful purpose;
  • attempt to gain unauthorised access to any part of the Site, server, or network;
  • introduce viruses, malware, or any other malicious code;
  • engage in scraping, crawling, harvesting, or any automated extraction of content, except by general-purpose search engines;
  • reverse-engineer, decompile, or attempt to derive the source code of any part of the Site;
  • copy, reproduce, republish, distribute, or commercially exploit any part of the Site without our prior written consent;
  • impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • use the Site in a manner that imposes an unreasonable load on our infrastructure or interferes with its normal operation;
  • circumvent any technical measure we use to restrict or monitor access to the Site.

We reserve the right to suspend or restrict access to the Site, or to take any other appropriate measure, in the event of a breach of these Terms.

7. Intellectual property

All content on the Site (including text, graphics, logos, icons, images, audio and video clips, page layouts, code, design, brand elements, and any underlying technology) is owned by Montelux or licensed to it, and is protected by intellectual property laws.

The “Montelux” name, logo, and any associated brand elements are trademarks of the Montelux group. No right or licence is granted to use them without our prior written consent.

You may view the Site, print individual pages for personal and non-commercial reference, and share links to the Site in good faith. Any other use requires our prior written authorisation.

8. Third-party content and links

The Site may contain links to third-party websites, applications, or resources. These links are provided for convenience only. We do not control, endorse, or assume responsibility for the content, products, services, or practices of any third party, and accessing such links is at your own risk.

Where the Site references third-party partners (for example, regulated payment institutions, banking partners, or technology providers), such references are factual and do not imply any responsibility on our part for the products or services of those third parties.

9. Availability and modifications

We aim to keep the Site available at all times, but we do not guarantee uninterrupted access. The Site may occasionally be unavailable due to maintenance, technical issues, or events beyond our reasonable control.

We may modify, suspend, or discontinue all or part of the Site at any time, with or without notice. We may also update these Terms from time to time to reflect changes in our practices, technologies, legal obligations, or supervisory expectations. The version in force is the one published on the Site, with the date of last update shown at the top of this document. Continued use of the Site after changes have been published constitutes acceptance of the updated Terms.

10. Limitation of liability

To the fullest extent permitted by applicable law, the Montelux entities, their group companies, directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, business opportunity, or data, arising out of or in connection with your use of, or inability to use, the Site.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for death, personal injury caused by negligence, fraud, or fraudulent misrepresentation.

The limitations in this section apply to your use of the Site only. They do not affect any rights you may have under a separate client agreement entered into with a Montelux entity.

11. Indemnity

You agree to indemnify and hold harmless the relevant Montelux entity, its group companies, directors, officers, employees, and agents from any claim, demand, loss, liability, damage, cost, or expense (including reasonable legal fees) arising out of or in connection with:

  • your breach of these Terms;
  • your unlawful or fraudulent use of the Site;
  • your infringement of any third-party right, including intellectual property or privacy rights.

12. Privacy

Your use of the Site is also governed by our Privacy Notice and Cookie Notice, which describe how we collect, use, and protect personal data, and how cookies and similar technologies are used on the Site.

13. Region-specific information

13.1 Additional information for EU/EEA users

If you access the Site as a user located in the European Union or European Economic Area, the relevant Montelux entity is Montelux Finance UAB.

Governing law and jurisdiction

These Terms, and any non-contractual obligation arising out of or in connection with them, are governed by the laws of the Republic of Lithuania, without regard to its conflict-of-laws principles.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Vilnius, Lithuania, without prejudice to any mandatory consumer protection rules of your country of habitual residence that may grant you the right to bring proceedings before the courts of that country.

Consumer rights

If you are a consumer within the meaning of EU law, nothing in these Terms affects your statutory rights under the consumer protection laws of your country of habitual residence.

The European Online Dispute Resolution platform has been discontinued as of 20 July 2025. You may consult the European Commission's list of alternative dispute resolution bodies at consumer-redress.ec.europa.eu.

Language

These Terms are made available to clients of Montelux Finance UAB in both English and Lithuanian. In the event of any discrepancy between the two versions, the English version shall prevail.

13.2 Additional information for Canadian users

If you access the Site as a user located in Canada, the relevant Montelux entity is Montelux Payments Ltd.

Governing law and jurisdiction

These Terms, and any non-contractual obligation arising out of or in connection with them, are governed by the laws of the Province of Ontario and the laws of Canada applicable therein, without regard to its conflict-of-laws principles.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Ontario, Canada, without prejudice to any mandatory consumer protection rules of your province of residence that may grant you the right to bring proceedings before the courts of that province.

Language

These Terms are made available to clients of Montelux Payments Ltd in both English and French. In the event of any discrepancy between the two versions, the English version shall prevail.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or competent authority, the remaining provisions shall continue in full force and effect. The invalid provision shall, where possible, be replaced by a valid provision that most closely reflects the original intent.

15. No waiver

Our failure to enforce any provision of these Terms at any time shall not constitute a waiver of that provision or of our right to enforce it subsequently.

16. Entire agreement

These Terms, together with our Privacy Notice, Cookie Notice, and any other notice published on the Site, constitute the entire agreement between you and Montelux regarding your use of the Site.

For clients who have entered into a service agreement with a Montelux entity, the relevant client agreement and general terms and conditions take precedence over these Terms in the event of any conflict relating to the regulated services provided.
